1. Scope of Services

The SEO Services (“Services”) include the following ongoing optimization and advisory activities aligned to the agreed monthly plan level.

1.1 Client‑Requested SEO Tasks

  • On‑page optimization (title tags, meta descriptions, H1–H6, structured content, internal links)
  • Technical recommendations and implementation within CMS capability (robots.txt, canonical tags, sitemap configuration, noindex directives)
  • Keyword research updates and mapping to priority pages
  • Content briefs, SEO edits to existing content, and SERP feature optimization (featured snippets, FAQs)
  • Implementation of approved tracking pixels, analytics scripts, and schema markup
  • General SEO administrative tasks and coordination with Client or third‑party developers

Time allocated for client‑requested tasks is limited by the monthly plan level. Unused time does not roll over. Proactive services performed when time is unused are not guaranteed and may be deferred, limited, or omitted at the Company’s discretion based on risk, priority, platform constraints, or compatibility considerations.

2. Exclusions (Not Included Unless Quoted Separately)

Any service not explicitly listed under the Scope of Services is out of scope and may require a separate estimate and approval. Examples include:

  • Net‑new website builds, redesigns, or large‑scale information architecture overhauls
  • Custom development, app integrations, and complex schema data feeds
  • Ongoing A/B testing programs and CRO tooling costs
  • Subscription fees for third‑party tools or APIs (e.g., rank trackers, link data, PR wires)
  • Hosting and server‑level issues, CDN configuration beyond SEO recommendations
  • Recovery from pre‑existing penalties, spammy link profiles, or deindexation events (see §3)

If needed, the above will be estimated and billed separately.

3. Search Engine Risk & Penalty Policy

3.1 If Off‑Page Activities Are Performed by Third Parties or the Client

Where third‑party vendors, affiliates, or the Client build or acquire links independently:

  • Cleanup, disavow analysis, and reconsideration requests may require a separate estimate.
  • The Company cannot guarantee third‑party practices or outcomes.

3.2 Preventative Measures

To reduce risk, the Company maintains:

  • Active monitoring of indexation, visibility trends, and Search Console alerts
  • Routine on‑page and technical updates aligned with search engine guidelines
  • Proactive performance and stability recommendations
  • Documentation of significant changes and rationale

Important: Search engines are third‑party platforms outside the Company’s control. No ranking, traffic, or revenue outcomes are guaranteed.

4. Client Responsibilities

The Client agrees to:

  • Provide timely responses, approvals, and access to required systems (CMS, analytics, tag manager, Search Console, hosting/CDN as needed)
  • Supply accurate, properly licensed content and confirm legal compliance (claims, disclosures, regulated content)
  • Avoid launching major site changes without notifying the Company for review
  • Maintain secure credentials and role‑based access; notify the Company of account changes
  • Pay all invoices on time and cover third‑party fees
  • Follow reasonable technical recommendations or formally accept risks if declined

5. Service Level & Response Times

  • Standard requests: Acknowledgment within 1 business day; action within 2–5 business days depending on scope and plan level.
  • Urgent issues (critical indexation loss, sitewide noindex, severe traffic anomaly): Priority triage as soon as reasonably possible.
  • Larger or complex tasks: May require additional time or a separate quote.
  • Meeting cadence: As per plan level (monthly/quarterly).

Timelines assume required accesses are granted and Client feedback is timely.

6. Payment Terms

  • SEO plans are billed monthly in advance based on the selected plan level.
  • Overages beyond plan hours are subject to approval and billed at the prevailing hourly rate.
  • Failure to pay may result in a pause or termination of Services.
  • No refunds are issued for partial months or unused hours.
  • Taxes, currency, and payment method fees (if any) are the Client’s responsibility.

7. Liability

  • While reasonable measures are taken to deliver best‑practice SEO, the Company does not guarantee specific rankings, traffic, conversions, revenue, or uninterrupted visibility due to the nature of third‑party search engines and evolving algorithms.
  • The Company is not liable for damages arising from third‑party platforms, plugins, hosting/CDN outages, data loss, or Client/third‑party modifications.
  • Where the Client declines recommended changes, the Client assumes associated risk.
  • These SEO Terms incorporate the limitation of liability, warranty disclaimers, and remedy provisions in the Company’s Master Service Agreement (MSA), which govern in the event of conflict.

8. Termination

Either party may terminate with 30 days’ written notice. Upon termination:

  • All future updates and Services cease
  • Access to reporting dashboards provisioned by the Company may be removed
  • Any outstanding invoices are due in full
  • Artifacts created under the engagement and paid in full (keyword maps, page briefs, audits) will be delivered in their current state upon request

9. Acceptance of Terms

Enrollment in the SEO plan or continued use of the Services constitutes acceptance of these SEO Services Terms & Conditions and the Company’s Master Service Agreement.
